  • Payments: If a subscription invoice isn't paid, we suspend access until it is. No late fees, just suspension.

  • Use rules: No illegal use, spam, hacking, or misuse.
  • Uptime: We aim for smooth service but can't promise 100% uptime.
  • Liability: If something goes wrong, our liability is limited to what you paid us in the last 12 months. We don't cover indirect losses (like lost profits).
  • Changes: We may update these Terms. We'll try to notify company owners by email.
  • Disputes: First, mediation. If that fails, Dutch law and Dutch courts apply.

Formal Terms of Service

1. Definitions

  • "Company" / "Customer": The business entity that holds the main account and pays for the Service.
  • "Users": Individual employees with personal logins under the Company account.
  • "Crew-Craft" / "We" / "Us": Crew-Craft B.V., a private limited liability company registered in the Netherlands, KvK [KvK Number], with registered address [Company Address].
  • "Service": The Crew-Craft SaaS platform, including web and mobile applications.

2. Scope of Agreement

These Terms govern use of the Service. By creating an account, the Company agrees to these Terms on behalf of itself and its Users.

3. Accounts and Access

  • One Company account per business.
  • Each User has a personal login linked to the Company account.
  • The Company is responsible for all activity under its account.
  • The Company owner must be of legal age (18+).

4. Subscription Plans and Fees

  • Free tier: up to 10 Users.
  • Paid tiers: Scale-up, Established, and Lifetime, available monthly or yearly.
  • Fees are displayed at the time of subscription and are exclusive of applicable taxes.

5. Payment Terms

  • Payments are due in advance.
  • If payment is not received, access is suspended immediately until payment is made.
  • No late fees are charged, but suspended time does not extend subscription periods.

6. Acceptable Use

Customers and Users shall not:

  • Use the Service for unlawful purposes.
  • Upload harmful, offensive, or infringing content.
  • Attempt to disrupt or gain unauthorized access.
  • Reverse engineer or resell the Service.

Crew-Craft reserves the right to suspend accounts for violations.

7. Data and Privacy

  • Customers retain ownership of their data.
  • Crew-Craft receives a limited license to process data solely for providing the Service.
  • Crew-Craft complies with the GDPR.
  • A separate Privacy Policy applies.
  • A Data Processing Agreement (Annex I) is part of these Terms.

8. Suspension and Termination

  • Crew-Craft may suspend access for unpaid invoices, security issues, or violations of these Terms.
  • Either party may terminate the Agreement with written notice.
  • Upon termination, data will be deleted or returned in accordance with Annex I.

9. Availability and Warranties

  • Crew-Craft provides the Service on a best-efforts basis.
  • No guarantee of uninterrupted or error-free operation.
  • Service is provided "as is."

10. Liability

  • Crew-Craft's liability is limited to the total fees paid by the Company in the preceding 12 months.
  • Crew-Craft is not liable for indirect damages (including lost profits, data loss, or business interruption).
  • Liability exclusions do not apply to intentional misconduct or gross negligence.

11. Changes to Terms

  • Crew-Craft may update these Terms.
  • We will attempt to notify Company owners by email.
  • Continued use after updates constitutes acceptance.

12. Governing Law and Dispute Resolution

  • These Terms are governed by Dutch law.
  • Parties shall attempt mediation before litigation.
  • If unresolved, disputes shall be submitted to the competent courts in the Netherlands.

13. Language

These Terms are available in both English and Dutch. In case of conflict, the Dutch version prevails.

Annex I – Data Processing Agreement (DPA)

1. Roles

  • Controller: The Company (Customer).
  • Processor: Crew-Craft B.V.

2. Subject Matter

Processing of employee and workforce data for the purpose of workforce planning.

3. Categories of Data

  • Employee identification data (name, contact details).
  • Availability, schedules, and timesheets.
  • Account and login information.

4. Processor Obligations

Crew-Craft shall:

  • Process data only on documented instructions of the Controller.
  • Maintain confidentiality.
  • Implement appropriate technical and organizational security measures.
  • Assist the Controller in fulfilling GDPR obligations (data subject rights, breach notifications).
  • Notify the Controller without undue delay of any data breach.
  • Not engage sub-processors without prior notice and ensure equivalent safeguards.

5. Controller Obligations

The Company shall:

  • Ensure a lawful basis for processing employee data.
  • Provide accurate and up-to-date data.
  • Instruct Crew-Craft lawfully and in compliance with GDPR.

6. Term and Termination

  • This DPA remains in effect for as long as Crew-Craft processes data on behalf of the Company.
  • Upon termination, Crew-Craft shall delete or return all personal data, unless retention is required by law.
